Acceptance of Terms

By creating an account or using TradeQuote, you agree to these Terms of Service. If you do not agree, you may not use the service.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be resolved in the courts of Ontario.

The Service

TradeQuote provides AI-assisted quote generation, storage, and PDF export tools for HVAC and plumbing professionals. The service is provided "as is" and we make no warranty that quotes generated will be accurate, complete, or suitable for any particular job.

You are solely responsible for reviewing every quote before sending it to a customer. Pricing, scope, taxes, and code compliance are your professional judgment, not ours.

Not Professional Advice

TradeQuote does NOT provide professional engineering, plumbing, HVAC, building-code, safety, tax, or legal advice. The service is a productivity tool that suggests quote structures based on the information you provide.

All quotes, pricing, materials, code compliance, permits, safety, and customer agreements require the independent professional judgment of a licensed tradesperson. You must independently verify every element of every quote before sending it to a customer or relying on it for any purpose.

Eligibility and Geographic Scope

TradeQuote is offered to trade businesses based in Canada and the United States. By using the service, you represent that you are a business or individual lawfully operating in Canada or the United States.

Regardless of where you access the service from, you agree that these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles, and that any disputes will be resolved as set out in the "Dispute Resolution and Class Action Waiver" section below.

We do not direct or market the service to residents of the European Union, the European Economic Area, the United Kingdom, Switzerland, or other jurisdictions outside Canada and the United States. If you access the service from outside Canada and the United States, you do so on your own initiative and remain solely responsible for compliance with any local laws.

Your Account

You must be at least 18 years old and authorized to operate a trade business in Canada. You are responsible for keeping your password secure and for all activity on your account.

Subscriptions and Billing

TradeQuote offers Basic and Pro subscription plans, billed monthly through Stripe. Pricing is shown in Canadian dollars unless stated otherwise.

Subscriptions automatically renew at the end of each billing period until cancelled. You may cancel at any time from your settings; access continues until the end of the current billing period.

All sales are final. Refunds may be issued at our discretion for clear billing errors.

Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or to violate any laws
  • Upload content you do not have the right to use
  • Reverse-engineer, scrape, or attempt to extract our source code or AI prompts
  • Resell, sublicense, or share account access with others
  • Use the service to generate quotes for fraudulent or non-existent jobs
  • Send abusive, harassing, or threatening content through the platform
  • Interfere with the operation of the service or other users' accounts

Your Content

You retain ownership of all content you upload (photos, quotes, customer information). You grant us a limited license to store, process, and display this content for the purpose of operating the service.

You are responsible for obtaining any consents required to upload customer photos or contact information.

Indemnification

You agree to defend, indemnify, and hold harmless TradeQuote, its founder, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the service; (b) any quote you generate, send, or rely on; (c) any work you perform or fail to perform for your customers; (d) your violation of these Terms; (e) your violation of any law or any rights of any third party; or (f) any content you upload, submit, or transmit through the service.

AI-Generated Content

Quotes generated by the AI are suggestions, not professional opinions. You are responsible for the final quote you send to your customer. We are not liable for errors, omissions, or financial losses resulting from AI-generated suggestions.

Intellectual Property

TradeQuote, its logo, and all software and content (excluding your uploaded content) are owned by us and protected by copyright and trademark law. You may not copy, modify, or distribute them without permission.

Service Availability

We aim for high uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or feature changes without notice. We are not liable for downtime or data loss caused by third-party providers.

Force Majeure

We are not liable for any delay, interruption, or failure to perform caused by events beyond our reasonable control, including but not limited to: outages or failures of third-party services (such as Supabase, Stripe, Anthropic, Vercel, or internet service providers), power failures, natural disasters, fires, floods, pandemics, war, terrorism, civil unrest, government actions, labor disputes, cyberattacks, or other force majeure events.

Limitation of Liability

To the maximum extent permitted by law, TradeQuote, its founders, and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from your use of the service.

Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months before the claim arose, or CAD $100, whichever is greater.

Dispute Resolution and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the service shall be resolved on an individual basis.

For users based in Canada, disputes will be brought exclusively in the courts of the Province of Ontario, and you consent to personal jurisdiction there.

For users based in the United States, any dispute that cannot be resolved informally shall be resolved by final and binding individual arbitration administered by a neutral arbitration body of TradeQuote's choosing (such as JAMS or the American Arbitration Association), seated in Toronto, Ontario, applying Ontario law. Judgment on the award may be entered in any court of competent jurisdiction.

To the maximum extent permitted by law, you and TradeQuote each waive any right to (a) participate in a class action, collective action, mass arbitration, or representative proceeding; and (b) a jury trial. This section does not apply where prohibited by mandatory law, including certain consumer protections under Quebec law and applicable U.S. state laws. If the class-action waiver is found unenforceable as to any claim, that claim shall proceed in court rather than arbitration, while all other claims remain subject to this section.

Termination

We may suspend or terminate your account if you violate these Terms or use the service in a way that harms us or other users. You may close your account at any time from your settings.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TradeQuote regarding the service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. No failure to enforce any term shall be deemed a waiver of that term or any other term.

Changes to Terms

We may update these Terms. Material changes will be notified by email or in-app at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
